1. Agreement to Terms

By accessing or using the ATC platform ("Service"), operated by CodeSteak LLP (India) and GRID Labs LLC (United States), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

ATC is an AI-powered product catalog platform that provides:

• AI-powered product image enhancement and background removal
• Automated product title and description generation
• Product catalog management and organization
• Public storefront hosting at atc.ai/[username]
• Inventory management tools

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or use of your account

4. Subscription and Payments

4.1 Billing: Subscriptions are billed on a monthly basis. You authorize us to charge your payment method on file for recurring subscription fees.

4.2 Price Changes: We reserve the right to modify subscription prices. Any price changes will be communicated at least 30 days before taking effect.

4.3 Payment Processing: Payments are processed through Stripe. For customers in India, payments are processed through CodeSteak LLP. For customers outside India, payments are processed through GRID Labs LLC.

4.4 Taxes: All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying any taxes associated with your use of the Service.

5. Acceptable Use

You agree not to use the Service to:

• Upload content that infringes on intellectual property rights
• Distribute illegal, harmful, or offensive content
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service's operation
• Use the Service for any fraudulent or deceptive purposes
• Upload content depicting prohibited items (weapons, drugs, counterfeit goods)
• Resell or redistribute the Service without authorization

6. Intellectual Property

6.1 Your Content: You retain ownership of all content you upload to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for providing the Service.

6.2 AI-Generated Content: Content generated by our AI (enhanced images, titles, descriptions) is owned by you. You may use this content for any lawful commercial purpose.

6.3 Our Property: The Service, including its design, features, and technology, is owned by CodeSteak LLP and GRID Labs LLC and is protected by intellectual property laws.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or emergency repairs.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes when possible.

9. Termination

9.1 By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

9.2 By Us: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activities harmful to the Service or other users.

9.3 Effect of Termination: Upon termination, your right to use the Service ends. We may delete your data after a reasonable retention period, typically 30 days.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODESTEAK LLP, GRID LABS LLC, AND THEIR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

12. Governing Law

For customers in India: These Terms are governed by the laws of India, and disputes shall be subject to the exclusive jurisdiction of courts in Ernakulam, Kerala.

For customers outside India: These Terms are governed by the laws of the State of Delaware, United States, and disputes shall be subject to the exclusive jurisdiction of state or federal courts in Delaware.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
